1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Rayyan Consulting and Business Company LTD ("Rayyan Consulting," "Company," "we," "our," or "us"), a company registered in Cameroon with offices in Douala.
By accessing our website at www.rayyanconsulting.com, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
These Terms apply to all visitors, users, clients, and others who access or use our website and services.
2. Definitions
For the purposes of these Terms:
- "Services" means all transit, transport, logistics, trading, consulting, import-export, and related services offered by Rayyan Consulting.
- "Goods" or "Cargo" means any products, commodities, materials, or items that are the subject of our Services.
- "Quotation" means the written estimate of charges and services provided by us.
- "Service Agreement" means any specific contract or agreement entered into between you and Rayyan Consulting for the provision of Services.
- "Force Majeure" means circumstances beyond the reasonable control of either party, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, and severe weather conditions.
3. Our Services
3.1 Scope of Services
Rayyan Consulting provides the following categories of services:
- Transit Services: Facilitating the movement of goods across international borders, including documentation, customs coordination, and permit handling.
- Transport Solutions: Road freight, multimodal transport, container handling, and cargo movement within Cameroon and across Central Africa.
- Logistics Management: Warehousing, inventory management, supply chain optimization, and distribution services.
- Trading & Commercial Services: Commodity sourcing, procurement assistance, and commercial intermediary services.
- Business Consulting: Market entry strategy, partner identification, business registration assistance, and regulatory guidance.
- Import-Export Operations: Customs clearance, documentation, HS code classification, duty optimization, and international shipping coordination.
3.2 Service Standards
We commit to:
- Providing professional and diligent services
- Acting in your best interests within the scope of our engagement
- Maintaining clear communication throughout service delivery
- Employing qualified and experienced personnel
- Adhering to all applicable laws and regulations
4. Quotations and Pricing
4.1 Quotation Validity
All quotations provided by Rayyan Consulting are:
- Valid for 30 days from the date of issue, unless otherwise specified
- Subject to the accuracy and completeness of information provided by the Client
- Based on prevailing rates, exchange rates, and regulatory requirements at the time of quotation
4.2 Price Adjustments
We reserve the right to adjust quoted prices if:
- There are changes in fuel costs, government fees, duties, or taxes
- The actual nature, weight, volume, or value of Goods differs from information provided
- Additional services are required beyond the original scope
- Delays occur due to circumstances beyond our control
- Exchange rate fluctuations affect costs
4.3 Additional Charges
The following may incur additional charges:
- Demurrage and detention fees
- Storage and warehousing beyond agreed periods
- Re-delivery or re-routing of shipments
- Expedited or rush services
- Specialized handling requirements
- Inspection fees and testing
5. Client Responsibilities
As a Client of Rayyan Consulting, you agree to:
5.1 Documentation
- Provide accurate, complete, and timely documentation for all shipments
- Ensure all permits, licenses, and certificates required for your Goods are obtained
- Declare the true nature, value, weight, and quantity of all Goods
- Provide valid commercial invoices, packing lists, and certificates of origin
5.2 Legal Compliance
- Ensure that Goods comply with all applicable laws and regulations of origin, transit, and destination countries
- Not request shipment of prohibited, restricted, or illegal goods
- Obtain all necessary import/export licenses and authorizations
- Provide accurate HS codes or authorize us to determine appropriate classification
5.3 Communication
- Respond promptly to requests for information or clarification
- Notify us immediately of any changes that may affect service delivery
- Provide accurate contact information for all parties involved in the shipment
- Keep us informed of any issues or concerns
5.4 Payment
- Pay all invoices in accordance with agreed payment terms
- Bear responsibility for all duties, taxes, and government charges
- Reimburse us for any advances or disbursements made on your behalf
6. Prohibited Goods
You may not request Rayyan Consulting to handle, transport, or facilitate the trade of:
- Illegal narcotics and controlled substances
- Weapons, ammunition, and military equipment (without proper authorization)
- Counterfeit goods or goods that infringe intellectual property rights
- Hazardous materials without proper declaration and documentation
- Goods subject to international sanctions or embargoes
- Endangered species or products derived from them (without CITES permits)
- Human remains (except with proper legal authorization)
- Any goods prohibited by Cameroonian law or the laws of origin/destination countries
We reserve the right to refuse any shipment that we reasonably believe may be illegal, dangerous, or harmful.
7. Limitation of Liability
7.1 General Limitation
To the maximum extent permitted by law, the liability of Rayyan Consulting for any claim arising from or related to our Services shall be limited to:
- For loss or damage to Goods: The lesser of the actual value of the lost or damaged Goods or 2 SDR (Special Drawing Rights) per kilogram of gross weight
- For delays: The amount of service charges paid for the delayed shipment
- For other claims: The service charges paid for the relevant service
7.2 Exclusions
Rayyan Consulting shall not be liable for:
- Indirect, consequential, special, or punitive damages
- Loss of profits, revenue, business opportunities, or goodwill
- Delays, loss, or damage caused by:
- Client's acts, omissions, or negligence
- Force Majeure events
- Inherent defects or nature of the Goods
- Insufficient or improper packing
- Customs or government authorities' actions
- Acts or omissions of third parties beyond our control
- War, civil unrest, or terrorism
7.3 Time Limitation for Claims
All claims must be submitted in writing within:
- 7 days of delivery for visible damage or shortage
- 14 days of delivery for non-visible damage
- 21 days of scheduled delivery for delays or non-delivery
- 9 months of the date of shipment for all other claims
Claims not submitted within these timeframes shall be deemed waived.
8. Insurance
8.1 Cargo Insurance
We strongly recommend that Clients maintain adequate cargo insurance for all shipments. While we offer to arrange cargo insurance on your behalf, the decision to insure remains with you.
8.2 Insurance Options
We can facilitate:
- All-risk cargo insurance
- Named perils coverage
- Warehouse-to-warehouse coverage
- Specific voyage policies
- Annual open policies for regular shippers
8.3 Responsibility
Unless we have agreed in writing to arrange insurance:
- You bear the risk of loss or damage to Goods
- We are not responsible for ensuring adequate insurance coverage
- Our liability is limited as set out in Section 7
9. Payment Terms
9.1 Standard Terms
Unless otherwise agreed in writing:
- Payment is due within 14 days of invoice date for established clients
- New clients may be required to pay in advance or upon delivery
- We reserve the right to require deposits for large shipments or projects
9.2 Payment Methods
We accept payment by:
- Bank transfer (preferred)
- Mobile money (Orange Money, MTN Mobile Money)
- Cash payment at our office (for local transactions)
9.3 Late Payment
In case of late payment:
- We may charge interest at 1.5% per month on overdue amounts
- We may suspend services until payment is received
- We may exercise a lien on Goods in our possession
- We may engage collection agencies and recover associated costs
- Outstanding balances may be reported to credit reference agencies
10. Intellectual Property
10.1 Our Intellectual Property
All content on our website, including text, graphics, logos, images, software, and design, is the property of Rayyan Consulting or our licensors and is protected by copyright and other intellectual property laws.
10.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not:
- Copy, modify, or distribute our website content
- Use our trademarks or logos without written permission
- Reverse engineer or attempt to extract source code from our website
- Frame or mirror our website on other platforms
11. Confidentiality
11.1 Mutual Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during the course of our relationship.
11.2 Exclusions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was known to the receiving party prior to disclosure
- Is independently developed by the receiving party
- Is required to be disclosed by law or court order
12. Termination
12.1 Termination by Either Party
Either party may terminate ongoing service arrangements by providing 30 days' written notice to the other party.
12.2 Termination for Cause
We may immediately terminate or suspend services if you:
- Breach any material term of these Terms
- Fail to make payment when due
- Provide false or misleading information
- Request handling of prohibited goods
- Become insolvent or subject to bankruptcy proceedings
12.3 Effect of Termination
Upon termination:
- All outstanding payments become immediately due
- We may exercise a lien on Goods in our possession until payment
- Confidentiality obligations survive termination
- Limitation of liability provisions survive termination
13. Governing Law and Disputes
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cameroon.
13.2 Dispute Resolution
In the event of a dispute:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days.
- Mediation: If negotiation fails, the parties may agree to submit the dispute to mediation administered by a mutually agreed mediator in Douala, Cameroon.
- Arbitration or Litigation: If mediation fails or is not agreed upon, either party may submit the dispute to binding arbitration in Douala, Cameroon, or the competent courts of Cameroon.
14. General Provisions
14.1 Entire Agreement
These Terms, together with any Service Agreements and quotations, constitute the entire agreement between you and Rayyan Consulting regarding the subject matter herein.
14.2 Amendment
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance.
14.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.4 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it later.
14.5 Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to an affiliate or successor.
